EJ USA, Inc. Términos y Condiciones de Venta

Todas las ventas de productos realizadas por EJ USA, Inc. (el “Vendedor”) estarán sujetas a los siguientes términos y condiciones.

  1. Oferta y Aceptación. La cotización entregada por el Vendedor, como la misma pueda ser modificada de tiempo en tiempo, es una oferta para celebrar un contrato con el comprador que se identifique en dicha cotización o a quien de otra forma se le entrega dicha cotización (sucesivamente, el “Comprador”) para vender al Comprador los productos que se describen en la cotización del Vendedor (los “Productos”). Estos Términos de Venta y la cotización del Vendedor y confirmación de orden, junto con cualesquier otros documentos que se firmen mutuamente por los representantes autorizados de cada una de las partes, constituyen el “Contrato”. Ni la cotización del Vendedor, cualquier confirmación de compra u otro documento emitido por el Vendedor, ni la manufactura o entrega por el Vendedor de los Productos, se entenderá como una aceptación de ninguno de los términos y condiciones adjuntos o a ser incorporados a cualquier orden de compra o cualquier otro documento emitido por el Comprador, y cualesquiera de dichos términos y condiciones generales emitidos por el Comprador serán específicamente excluidos y no serán incorporados al Contrato. Cualesquiera de los siguientes actos por el Comprador se entenderá como su aceptación de la oferta del Vendedor y estos Términos de Venta: (i) reconocimiento de la cotización del Vendedor; (ii) emisión de una orden de compra para los productos en los mismos o, substancialmente, los mismos términos reflejados en la carátula de la cotización del Vendedor; (iii) aceptar la entrega de los productos; o (iv) por cualquier otro medio que reconozca medianamente la existencia de un contrato para la compra y venta de los productos. Cualesquier términos adicionales o distintos propuestos por el Comprador, ya sean en sus órdenes de compra, solicitud de cotización, o demás materiales por escrito, o que de cualquier otra manera no sean aceptables para, y expresamente rechazados por el Vendedor, no serán parte del Contrato y no tendrán efecto alguno respecto a cualquier compra de los productos por el Comprador. La aceptación por el Comprador de esta oferta y la entrega por el Vendedor sujeto a cualquier orden de compra emitida por el Comprador se limita y se condiciona expresamente a la aceptación del Comprador de los términos de la cotización del Vendedor y los presentes Términos y Condiciones de venta, exclusivamente.

    Los términos de la cotización continuarán en vigor por un periodo de 30 días, o el tiempo que se estipule en la cotización del Vendedor. Errores estenográficos o gramaticales en las cotizaciones estarán sujetos a corrección. El Comprador será exclusivamente responsable de determinar los materiales, dimensiones y cantidades requeridas para un proyecto u orden particular. La cotización del Vendedor se basará en varios factores y consideraciones comerciales y no podrán ser utilizados por ningún otro proveedor o cualquier otra persona o entidad sin el previo consentimiento por escrito del Vendedor.

  2. Precios. Los precios no incluyen (i) ningún impuesto aplicable de valor agregado, uso o cualquier otro impuesto, ni (ii) el costo de pallets no-retornables, separadores, tapaderas, cajas envueltas con alambre o cualesquier otros contenedores especializados. Dichos artículos podrán ser facturados individualmente. El Vendedor podrá cambiar sus precios cotizados al presentarse un incremento inusual o imprevisto en los costos del Vendedor.

  3. Términos de Pago. Salvo que se especifique lo contrario en la cotización del Vendedor o reconocimiento de esta, el pago total del precio será pagadero en el lugar y en la forma designado por el Vendedor treinta (30) días después de la fecha de facturación de los bienes, sin descuento. Cualquier pago que no se haga al ser pagadero devengará un cargo por financiamiento del 1-1/2% mensual. En caso del incumplimiento por el Comprador del pago oportuno o por la duda razonable del Vendedor de la habilidad del Comprador para pagar, el Vendedor podrá requerir el pago por adelantado o exigir garantía y podrá negarse a cumplir con pedidos futuros hasta que se le pague lo que se le debe. Si el Comprador incumple en el pago o se niega a aceptar los pedidos C.O.D., el Vendedor tendrá derecho, adicionalmente a cualesquier otros derechos que le correspondan, a cancelar cualquier orden del Comprador, retener pedidos futuros, y exigir el pago de todos los montos no pagados por productos entregados previamente inmediatamente.

  4. Entrega y Riesgo de Pérdida. Salvo que se especifique lo contrario en la cotización del Vendedor o la confirmación de orden, el Vendedor entregará los bienes FCA (Incoterms 2010) en las instalaciones del Comprador o aquella dirección que instruya. El título y el riesgo de pérdida de los productos pasará al Comprador a la entrega de los productos como se determine por los términos aplicables de entrega. Las fechas de entrega son tentativas y no son garantizadas. Las partes reconocen y están de acuerdo que el tiempo no es esencial para la entrega de ninguno de los productos. El Vendedor hará lo comercialmente posible para cumplir con las fechas de entrega solicitadas por el Comprador, en el entendido que se le ha dado suficiente tiempo de anticipación al Vendedor. El Vendedor podrá, a su discreción, enviar todos los productos en un solo envío o en múltiples envíos. El Vendedor tendrá derecho, pero no la obligación, para determinar el método y rutas de envío de los productos, salvo que se estipule lo contrario en la cotización o reconocimiento de esta, del Vendedor. El Comprador o su transportista serán responsables de supervisar la carga y descarga de los productos y de asegurar todas las cargas para su transporte seguro, y defenderá, indemnizará y mantendrá al Vendedor a salvo de cualquier responsabilidad por lesión personal, muerte o daño de propiedad que resulte de la carga, transporte, entrega o descarga de los productos.

  5. Retraso inevitable. Si el Vendedor no puede entregar los bienes o experimenta un retraso en su capacidad de entrega como resultado de causas fuera del control razonable del Vendedor, que incluyen, entre otras: un acto de guerra, hostilidad o sabotaje; acto de Dios; ataque cibernético; cortes de electricidad, internet o telecomunicaciones que no sean causados por la parte obligada; escasez o imposibilidad de obtener mano de obra; pandemias, epidemias u otros brotes de enfermedades; acto de gobierno; falta de disponibilidad de suministros, equipo, herramientas o transporte; o si el Comprador no aprueba las muestras de producción; entonces la fecha estimada de entrega o el tiempo de ejecución se extenderá por tantos días más allá de la fecha estimada de entrega como sean necesarios para obtener la eliminación de tales causas, y el Vendedor no será responsable ante el Comprador por los daños causados por la demora o incumplimiento.

  6. Garantías y Remedios Limitados. Salvo que se estipule lo contrario en la cotización, el Vendedor garantiza al Comprador únicamente que, al tiempo de entrega, los productos estarán libre de defectos de material y mano de obra y cumplirán con todas las especificaciones y/o diseños acordados mutuamente por escrito. Sin embargo, en caso que el representante del Comprador acepte, ya sea verbalmente o por escrito, a un cambio o renuncia de una parte de las especificaciones para cualesquier envío de los productos, entonces dichos productos se considerarán en cumplimiento si cumplen con las especificaciones como estas sean modificadas o excluyendo dicha porción renunciada. El periodo de garantía para los productos será como sigue:

    1. Para hidrantes, válvulas, o placas de aviso de precaución detectable fabricadas por el Vendedor, el periodo de garantía será de diez años contados a partir de la fecha de entrega. Los acabados especiales y otros equipos especiales (si corresponde) estarán garantizados por separado por los fabricantes de esos productos.
    2. Para escotillas de aluminio y compositos fabricadas por el Vendedor, el periodo de garantía será de cinco años contados a partir de la fecha de entrega. Los acabados especiales y otros equipos especiales (si corresponde) estarán garantizados por separado por los fabricantes de esos productos.
    3. Para todos los demás bienes fabricados por el Vendedor, el periodo de garantía será de un año contado a partir de la fecha de entrega. Los acabados especiales y otros equipos especiales (si corresponde) estarán garantizados por separado por los fabricantes de esos productos.

    El Comprador se obliga a revisar todos los productos inmediatamente al momento de ser entregados por el Vendedor. En caso que el Comprador considere que alguno bien no cumple con las garantías especificadas en estos términos y condiciones, el Comprador notificará inmediatamente al Vendedor del supuesto defecto por escrito y le proporcionará al Vendedor toda información disponible al Comprador respecto al supuesto incumplimiento de especificaciones del producto. A petición del Vendedor, el Comprador regresará al Vendedor todos (o, de no ser posible, una muestra estadísticamente significante) de los productos que no cumplan con las especificaciones y los embalajes en los que dichos productos se incorporan, en su caso, junto con cualquier información o documentación adicional que sea razonablemente requerida por el Vendedor para poder determinar si dichos productos no cumplen con las garantías especificadas en el presente documento.

    En caso que el Vendedor determine que los bienes no cumplen, la única responsabilidad del Vendedor ante el Comprador y el ÚNICO Y EXCLUSIVO REMEDIO del Comprador bajo esta garantía (con independencia que los bienes que no cumplan hayan sido instalados y deberán estar sujetos a una remoción del mercado, satisfacción al cliente o cualquier otra campaña de servicio o acción similar) se limita únicamente a su reparación o reemplazo; en el entendido, sin embargo, que se le deberá entregar aviso por escrito que los productos potencialmente no cumplen con las especificaciones por el Comprador al Vendedor dentro de los cinco (5) días hábiles después de la entrega de los productos al Comprador o, en caso que la revisión de los productos por el Comprador no pudo identificar el incumplimiento potencial, dentro de los treinta (30) días hábiles después del conocimiento del Comprador o que razonablemente pudo conocer que los productos potencialmente no cumplirían con las especificaciones, incluyendo pero sin estar limitado a, información recibida, directa o indirectamente, de algún cliente del Comprador o cualquier otro tercero. Para mayor claridad, el Vendedor no será responsable por los gastos de ubicar o remover los productos en incumplimiento o reinstalación de cualesquier productos reparados o reemplazados. Salvo lo que se estipula en el presente documento, el Comprador no tendrá derecho de rechazar o revocar la aceptación de los productos.

    SE EXCLUYE ESPECÍFICAMENTE DE ESTE PÁRRAFO Y DE CUALQUIER GARANTÍA LO SIGUIENTE, POR LO CUAL EL VENDEDOR NO TENDRÁ RESPONSABILIDAD ALGUNA: (i) Defectos de diseño en los productos, en tanto estos sean diseñados, total o parciamente, por el Comprador o cualquier tercero; (ii) defectos o daños causados por la instalación no autorizada o inapropiada, modificación, reparación, mantenimiento (incluyendo el incumplimiento de proporcionar mantenimiento apropiado), almacenaje, manejo u operación de los productos por el Comprador o cualquier tercero; (iii) productos considerados por el Vendedor ser muestras, prototipos, en desarrollo o pre-producción, que se entregan “COMO ESTAN” únicamente; (iv) productos vendidos por el Vendedor pero manufacturados por una entidad distinta, que sean vendidos por el Vendedor “COMO ESTAN”, en el entendido, sin embargo, que el Vendedor le ceda al Comprador cualesquier garantías proporcionadas por el fabricante de dichos productos, en tanto sea posible su cesión; (v) cualquier producto, sistema, o ensamblaje que no se manufacture o sea vendido por el Vendedor y/o la integración, incorporación, interacción, conexión, instalación, o uso de los productos en o con cualquier producto, sistema, o ensamblaje, (vi) productos que se han dañado por causas atribuibles o causados por: (a) uso inapropiado, abuso, o vandalismo, o cualquier daño relacionado con el transporte; (b) actos de Dios o insurrección; (c) uso y desgaste normal; (d) o cualesquier otros actos que estén fuera del control razonable del Vendedor.  

    LAS GARANTÍAS ANTERIORES SON EXCLUSIVAS Y SE DAN Y SON ACEPTADAS EN LUGAR DE CUALESQUIER OTRAS GARANTÍAS, EXPRESAS O IMPLÍCITAS, INCLUYENDO SIN LIMITACIÓN, LAS GARANTÍAS IMPLÍCITAS DE COMERCIABILIDAD, APTITUD PARA UN OBJETO PARTICULAR, Y CONTRA CUALQUIER VIOLACIÓN, Y EL COMPRADOR ES EXCLUSIVAMENTE RESPONSABLE POR LA SELECCIÓN DE LOS PRODUCTOS Y LA DETERMINACIÓN DE LA APLICACIÓN Y USO APROPIADA DE ESTOS. LOS REMEDIOS DEL COMPRADOR SE LIMITARÁN  A AQUELLOS ESTABLECIDOS EN EL PRESENTE DOCUMENTO Y EXCLUYEN CUALESQUIER OTROS REMEDIOS. NINGÚN OTRO ACUERDO QUE VARÍE O EXTIENDA LAS GARANTÍAS O REMEDIOS ANTERIORES, O ESTA LIMITACIÓN SERÁN OBLIGATORIOS PARA EL VENDEDOR SALVO QUE SE EXPRESE POR ESCRITO Y SE FIRME POR UN FUNCIONARIO DEBIDAMENTE AUTORIZADO DEL VENDEDOR.

  7. Limitación de Responsabilidad. En caso que cualquier remedio bajo el presente no cumplan su objeto y que daños monetarios se puedan imponer, la responsabilidad del Vendedor, ya sea fundada en contrato o en alguna demanda de incumplimiento (incluyendo negligencia), que surja de o resulte de (i) el presente Contrato o la ejecución o incumplimiento de los términos del mismo, (ii) el diseño, manufactura, entrega, venta, reparación, reemplazo o uso de los productos, o (iii) la prestación  de cualquier servicio, salvo en caso de la negligencia grave y/o mala conducta deliberada e intencional del Vendedor, no excederán el costo de los bienes en cuestión en la demanda. NO OBSTANTE CUALQUIER DISPOSICIÓN A LO CONTRARIO EN EL PRESENTE DOCUMENTO, EL VENDEDOR NO SERÁ RESPONSABLE ANTE EL COMPRADOR O CUALQUIER OTRA PERSONA POR CUALESQUIER DAÑOS RESULTANTE, INCIDENTALES, ESPECIALES, EJEMPLARES, PUNITIVOS O CUALESQUIER OTROS DAÑOS INDIRECTOS, INCLUYENDO SIN LIMITACIÓN A, LAS PÉRDIDAS O INGRESOS, GASTOS RELACIONADOS CON LA REMOCIÓN DEL PRODUCTO DEL MERCADO, Y PÉRDIDA DEL USO DE LOS PRODUCTOS.

  8. Cambios. El Vendedor tendrá derecho de hacer cambios, a su discreción, de los diseños, ingeniería, manufactura, o composición material de sus productos, componentes, materia prima y demás recursos, herramientas, equipo, diseño, y procesos y métodos de manufactura, pero el Vendedor no hará cambios, sin el consentimiento del Comprador, a las especificaciones operacionales o dimensiones presentadas por el Comprador y acordados por el Vendedor.

  9. Solvencia y Garantías. El Comprador declara al Vendedor que el Comprador es solvente y capaz de entregar oportunamente el pago y cualesquier otras obligaciones al Vendedor. Hasta que los productos y cualquier otra deuda del Comprador hayan sido pagados totalmente por el Comprador, el Comprador o cualquier agente de este o tercero: (i) sujetarán los productos a una garantía o gravamen a favor del Vendedor que permita el derecho o reposesión por el Vendedor en tanto se permita por ley, (ii) no modificará, remover, destruir, o dañar cualquier marca que identifique los productos o su embalaje, y (iii) mantendrá los productos separados de cualesquier otros productos. El Vendedor podrá tomar posesión de los bienes en cualquier momento después de que el pago de los productos o cualquier otro pago debido al Comprador sea pagadero.

  10. Reventa. En cualquier reventa de los productos, el Comprador limitará contractualmente los derechos y remedios de sus clientes contra el Comprador y el Vendedor en el mismo alcance que las Secciones 6 y 7 anteriores limitan los derechos y remedios del Comprador.

  11. Cantidades. Cualquier reclamación por el Comprador que el Vendedor ha incumplido en entregar la cantidad acordada de productos deberá ser entregada al Vendedor por escrito dentro de los cinco días siguientes a la entrega de los productos al Comprador. En caso que el Comprador no realice dicha reclamación, entonces se entenderá que la cantidad apropiada fue entregada.

  12. Permisos y Cumplimiento. El Vendedor no es responsable de obtener ningún permiso, certificaciones o licencias necesarios para el uso, instalación y operación de los productos. El Vendedor no garantiza ni promete que los productos cumplirán con cualquier ley, ordenamiento, reglamento, código o estándar.

  13. Componentes de Otro Producto. Si cualquiera de los bienes constituyen partes o componentes que deberán incorporarse o instalarse en un producto que se manufactura o ensambla por o para el Comprador, entonces (a) el Comprador obtendrá, o causará que el usuario del producto final obtenga, todos los permisos, certificaciones y licencias requeridas para la instalación u operación del producto, (b) el Comprador asegurará que el producto cumpla con todas las leyes, ordenamientos, reglamentos, códigos y estándares aplicables y (c) el Comprador pondrá en el producto, todos los dispositivos y avisos de precaución, y entregará a sus clientes todas las instrucciones de operación necesarias o deseadas para prevenir muerte, lesión personal o daño de propiedad que puedan surgir por el uso u operación del producto.

  14. Características de Seguridad. El Comprador instalará y operará los bienes debidamente y de conformidad con las instrucciones de operación del Vendedor, en su caso, y no removerá ni cambiará un dispositivo de seguridad, aviso de precaución e instrucción de operación que el Vendedor instale en los productos.

  15. Herramientas. Toda herramienta que será utilizada en la manufactura de los productos será y continuará siendo propiedad del Vendedor, aun y cuando el Vendedor imponga y el Comprador pague una cantidad independiente por dicha herramienta. En caso que el Comprador suministre al Vendedor con herramienta, el Vendedor guardará dicha herramienta, sujeto a lo siguiente: (a) el riesgo de pérdida de la herramienta quedará en todo momento con el Comprador; (b) el Vendedor tendrá una garantía en la herramienta para asegurar todas las obligaciones que el Comprador tenga, en cualquier momento, ante el Vendedor; (c) el Comprador no tendrá derecho alguno de posesión de la herramienta mientras el Vendedor tenga una obligación pendiente de vender al Comprador los productos cuya manufactura requiera de dicha herramienta; (d) el Comprador reembolsará al Vendedor, a petición de este, por todos los gastos de modificación a la herramienta que sea realicen, razonablemente por los cambios en las especificaciones de los productos; y (e) a petición del Vendedor, el Comprador removerá, inmediatamente, la herramienta de las instalaciones del Vendedor, a costa del Comprador, y en caso que el Comprador incumpla con dicha petición dentro de los diez días siguientes a la entrega de la misma, el Vendedor podrá destruir o de cualquier otra manera deshacerse de dicha herramienta sin necesidad de aviso o responsabilidad para el Comprador.

  16. Cancelación; Devoluciones. (a) El Comprador no tendrá derecho alguno para cancelar el presente acuerdo para comprar los productos del Vendedor. Sin embargo, si el Comprador acepta, por escrito, de permitir una solicitud de cancelación, entonces el Comprador inmediatamente pagará al Vendedor un cargo de cancelación en una cantidad igual al precio de compra (incluyendo cualquier cargo de herramienta) menos las asignaciones (en las cantidades que determine el Vendedor) para (1) el valor realizable al Vendedor de cualesquier componentes estándares que el Vendedor haya comprado u ordenado antes de la cancelación, (2) el valor realizable de chatarra al Vendedor por el material remanente y la herramienta que el Vendedor haya comprado, fabricado u ordenado anteriormente a la cancelación y (3) cualesquier costos directos de mano de obra que el Vendedor ahorro en virtud de la cancelación.

    (b)  El comprador no podrá devolver ningún producto personalizado o etiquetado. Todos los demás productos que se puedan vender y que no estén dañados están sujetos a devolución solo por crédito y con el consentimiento previo por escrito del Vendedor. Todas las devoluciones están sujetas a una tarifa de reposición del 25%. Cualquier modificación necesaria para restaurar el producto a una nueva condición (debido al cemento, escombros, lodo, pintura en aerosol, etc.) reducirá el crédito al valor de la chatarra. El comprador es responsable de enviar los productos a la localidad de EJ designada. El Vendedor puede, a su exclusivo criterio, solicitar cierta información al Comprador antes de autorizar una devolución.
     
    (c) Adicionalmente a cualesquier otros derechos y remedios disponibles para el Vendedor, si el Comprador incumple en pagar oportunamente cualquier deuda o de cualquier otra manera cumplir con cualquier obligación que tenga el Comprador en cualquier momento ante el Vendedor, el Vendedor podrá considerar dicho incumplimiento del Comprador un repudio anticipado de cualesquier otros contratos pendientes que regulen la venta de productos por el Vendedor al Comprador, y el Vendedor podrá, sin responsabilidad para el Comprador, cancelar todos y cualesquiera de dichos contratos pendientes.

  17. Inseguridad y Garantía Adecuada. Si el Vendedor considera de buena fe que tiene motivo de inseguridad respecto al cumplimiento del Comprador bajo cualquier contrato entre este y el Vendedor de comprar los productos, incluyendo el presente Contrato, entonces el Comprador proporcionará garantía adecuada del debido cumplimiento dentro de los diez días hábiles siguientes a la solicitud del Vendedor de dicha garantía, que será considerado un tiempo razonable. El incumplimiento del Comprador de entregar dicha garantía será considerado un incumplimiento por el Comprador de todos los contratos existentes en dicho momento, incluyendo el Contrato, que regulen que el Comprador compre los productos y/o servicios del Vendedor (“Contratos Vigentes”). “Motivo de Inseguridad” incluirá, sin limitación, (a) el incumplimiento del Comprador de pagar al Vendedor o cumplir con cualquier otra obligación bajo un Contrato Vigente, (b) la insolvencia del Comprador, (c) una deterioración de la condición financiera del Comprador después de haber celebrado un Contrato Vigente y (d) el incumplimiento del Comprador de proporcionar estados financieros y cualquier otra información financiera al Vendedor oportunamente tras la petición de dicha información por el Vendedor. “Garantía Adecuada del debido cumplimiento” incluye, sin limitación, la entrega de una carta de crédito o título similar para todas las obligaciones del Comprador exigible en dicho momento o que pueda ser exigible en el futuro bajo cualquiera de los Contratos Vigentes. 
     
  18. Propiedad Intelectual y Confidencialidad. Todos los inventos, dispositivos, tecnologías, ideas, mejoras, procesos, sistemas, software, y demás trabajos y material que el Vendedor diseñe, genere, cree, o desarrolle en el curso de la realización del Contrato por el Vendedor, así como todas las muestras, diagramas, planos, dibujos y especificaciones que el Vendedor proporcione al Comprador (conjuntamente la “Propiedad Intelectual del Vendedor”) y todo derecho de propiedad intelectual amparado en dichos conceptos (ya sea patentable o no) será propiedad exclusiva del Vendedor, y el Comprador no tendrá derecho, título o interés alguno en la Propiedad Intelectual del Vendedor. El Comprador no podrá divulgar ni utilizar la Propiedad Intelectual del Vendedor, ni cualquier información del negocio, operaciones o actividades del Vendedor, o ninguna cotización o aceptación del Vendedor, salvo en tanto sea necesario por el Comprador para utilizar los productos.

  19. Indemnización. El Comprador defenderá, indemnizará y mantendrá a salvo al Vendedor, sus afiliados, funcionarios, directores, empleados, agentes y sucesores y cesionarios de y contra cualesquier responsabilidades, pérdidas, reclamaciones, gastos y daños (incluyendo honorarios razonables legales y profesionales) de cualquier tipo, incluyendo sin limitación, reclamaciones por lesión personal (incluyendo muerte) o daño de propiedad, ya sea que dichas reclamaciones sean contempladas contractualmente, por incumplimiento o de cualquier otra manera, incluyendo responsabilidad específica, que surja de o resulte de, esté relacionado con, o de cualquier forma en conexión con (a) el incumplimiento del Comprador de cualesquiera de sus obligaciones bajo estos Términos de Venta, (b) el uso o instalación de los productos por el Comprador o (c) cualquier reclamación de anti-competencia o violación de patente, marca u derecho de autor o cualquier otra reclamación que resulte de la manufactura por el Vendedor de los productos de conformidad con las especificaciones del Comprador.

  20. Derechos del Vendedor. El Vendedor tendrá todo derecho y remedio disponible que le corresponda por la ley aplicable a los vendedores. Los derechos y remedios del Vendedor serán cumulativos, y el Vendedor podrá ejercerlos de tiempo en tiempo. Ninguna renuncia será efectiva salvo que sea por escrito. La falta del Vendedor de demandar el cumplimiento bajo cualquier disposición del presente Contrato no afectará en lo absoluto al derecho del Vendedor de requerir el cumplimiento total, en cualquier momento subsecuente, ni la renuncia del Vendedor de cualquier incumplimiento de cualquiera de los términos y condiciones del presente Contrato en una ocasión será considerada una renuncia de cualquier otro incumplimiento del mismo o cualquier término del mismo.

  21. Periodo para Ejercer Acción. Cualquier acción que surja de o relacionado con este Contrato, ya sea demandando el incumplimiento de garantía u cualquier otro incumplimiento o conducta dolosa del Vendedor deberá ser promovido por el Comprador dentro de un año a partir de que se presente una causa de acción. El Comprador pagará los honorarios, costos y gastos razonables legales del Vendedor que incurra para la exigibilidad de cualquier disposición del presente.

  22. Ley Aplicable. La validez, interpretación y exigibilidad del presente Contrato, materia que surge de o relacionado con este Contrato o su ejecución, incumplimiento, y cualesquier asuntos relacionados serán regulados e interpretados de conformidad con las leyes del Estado de Michigan. Las disposiciones de la Convención de las Naciones Unidas de Contratos para la Venta Internacional de Bienes, y cualesquier disposiciones de conflictos de leyes que puedan requerir aplicación de cualquier otra ley, son excluidas. Cualquier parte podrá ejercer cualquier acción que surja de o se relacione con el presente Contrato en cualquier corte federal o estatal en Kent County, Michigan que tenga competencia en este objeto materia, y el Comprador irrevocablemente consiente que cualesquiera de dichas cortes tendrá jurisdicción personal sobre el Comprador y renuncia cualquier objeción que le pueda corresponder que la corte no es competente.

  23. Acuerdo Total; Modificación. El presente Contrato contiene el acuerdo total entre las partes y se destina como una expresión final de su mutuo acuerdo y es una declaración completa de los términos del mismo, y no podrá ser enmendado, modificado o de cualquier otra forma suplementado salvo que dicha enmienda, modificación o suplemento se haga por escrito y expresamente haga referencia a este Contrato y sea firmado por los representantes autorizados de ambas partes del mismo.

EJ Canada, ULC Terms and Conditions of Sale

All sales of products by EJ Canada, ULC ("Seller") are made on the following terms and conditions.

  1. Offer and Acceptance. The quotation provided by Seller, as may be amended from time to time, is an offer to enter into a contract with the buyer identified on the quotation or to whom the quotation is otherwise provided (hereinafter the “Buyer”) to sell to Buyer the products described on Seller’s quotation (the “goods”).  These Terms of Sale and Seller’s quotation and order confirmation, together with any documents that are mutually executed by authorized representatives of each of the parties, constitute the “Contract”.  Neither Seller’s quotation, any order confirmation or other document issued by Seller nor Seller’s manufacture or delivery of the goods shall constitute an acceptance of any terms and conditions attached to or incorporated into any purchase order or other document issued by Buyer, and any such general terms and conditions issued by Buyer are specifically excluded and not incorporated into the Contract.  Any of the following acts by Buyer shall constitute its acceptance of Seller’s offer and these Terms of Sale in their entirety: (i) acknowledging Seller’s quotation; (ii) issuing a purchase order for the goods on the same or substantially the same terms as reflected on the face of Seller’s quotation; (iii) accepting delivery of the goods; or (iv) by other conduct which fairly recognizes the existence of a contract for the purchase and sale of the goods.  Any additional or different terms proposed by Buyer, whether in its purchase orders, request for quotation, or other written materials, or otherwise are unacceptable to and expressly rejected by Seller and are not part of the Contract and shall have no effect with respect to any purchases of the goods by Buyer.  Acceptance by Buyer of this offer and Seller’s performance under any purchase order issued by Buyer is expressly limited to and conditioned upon Buyer’s acceptance of the terms of Seller’s quotation and these Terms and Conditions of Sale exclusively.
    Quoted terms shall remain in effect for 30 days or such other time as is stated on Seller's quotation. Stenographical and clerical errors in quotations are subject to correction. Buyer shall be solely responsible for determining the materials, dimensions and quantities required for a particular project or order. Seller's quotation is based on various business factors and considerations and may not be used by any other contractor or any other person or entity without Seller's written consent.

  2. Prices. Prices do not include (i) any applicable sales, use or other tax or (ii) the cost of non-returnable pallets, separators, tops, wire-bound boxes or any other special containers. Such items may be invoiced separately.  Seller may change its quoted prices upon an unusual or unforeseen increase in Seller's costs.

  3. Payment Terms. Unless otherwise specified in Seller's quotation or acknowledgment, payment in full of the price is due at the location, and in the method, designated by Seller thirty (30) days after the date of invoice of the goods, without discount. Any payment that is not made when it is due shall accrue a finance charge of 1-1/2% per month. In the event of Buyer’s failure to timely pay or Seller’s reasonable doubt as to Buyer's ability to pay, Seller may require advance payment or collateral and may refuse fulfillment of further shipments until its demand is fulfilled.  If Buyer becomes delinquent in payment or refuses to accept C.O.D. shipments, Seller shall have the right, in addition to any and all other rights, to cancel any order of Buyer, to withhold further deliveries, and declare all unpaid amounts for goods previously delivered immediately due and payable.

  4. Delivery and Risk of Loss. Unless otherwise specified on Seller’s quotation or order confirmation, Seller shall deliver the goods FCA (Incoterms 2010) Buyer’s facility or other directed location. Title and risk of loss of the goods will pass to Buyer upon delivery of the goods as determined by the applicable delivery terms.  Delivery dates are estimated and are not guaranteed.   Time is not of the essence to any delivery of goods.  Seller will use commercially reasonable efforts to meet Buyer’s requested delivery dates, provided that Seller has been provided with sufficient lead-time.  Seller may at its discretion, ship all the goods at one time or in multiple shipments.  Seller shall have the right, but not the obligation, to determine the method of shipment and routing of the goods, unless otherwise stated in Seller's quotation or acknowledgment. Buyer or its carrier shall be responsible for supervising the loading and unloading of goods and for securing all loads for safe transport, and shall defend, indemnify and hold Seller harmless from any liability for personal injury, death or property damage resulting from the loading, transport, delivery or unloading of the goods.

  5. Unavoidable Delay. If Seller is unable to deliver goods or experiences a delay in its ability to deliver as a result of causes beyond Seller’s reasonable control including, without limitation: an act of war, hostility, or sabotage; act of God; cyber-attack; electrical, internet, or telecommunication outage that is not caused by the obligated party; shortages of or inability to obtain labor; pandemic, epidemic, or other outbreaks of disease; act of government; unavailability of supplies, equipment, tooling or transportation; or Buyer's failure to approve production samples; then the estimated date of delivery or performance time shall be extended for as many days beyond the estimated date of delivery as are required to obtain removal of any such causes, and Seller shall not be liable to Buyer for any damages caused by the delay or failure to perform.
  6. Warranties and Limited Remedies. Unless otherwise set forth in the quotation, Seller warrants to Buyer only that, at the time of delivery, the goods will be free from defects in material and workmanship and will conform to any mutually agreed upon written specifications and/or drawings.  If , however, Buyer's representative agrees, either orally or in writing, to a change in or waiver of a portion of the specifications for any shipment of goods, then such goods shall be considered conforming if they conform to the specifications as changed or with such waived portion excluded. The warranty period for the goods shall be as follows:

    1. For hydrants, valves, or detectable warning plates manufactured by Seller, the warranty period shall be ten years from the date of delivery. Special finishes and other special equipment (if applicable) shall be warranted separately by the manufacturers of those products.
    2. For aluminum hatches and composites manufactured by Seller, the warranty period shall be five years from the date of delivery. Special finishes and other special equipment (if applicable) shall be warranted separately by the manufacturers of those products.
    3. For all other goods manufactured by Seller, the warranty period shall be one year from the date of delivery. Special finishes and other special equipment (if applicable) shall be warranted separately by the manufacturers of those products.

    Buyer agrees to inspect all of the goods immediately upon receipt from Seller. In the event that Buyer believes that a good is non-conforming with the warranties specified herein, then Buyer will promptly notify Seller of the alleged defect in writing and provide to Seller as much information as is available to Buyer about the alleged non-conformity. If requested by Seller, Buyer will return to Seller all (or, if not feasible, a statistically significant sample) of the allegedly non-conforming goods and the assemblies into which such goods are incorporated, if applicable, together with any additional information or documentation reasonably requested by Seller, for the purpose of determining if the goods are non-conforming with the warranties specified herein.

    If Seller determines that the goods are non-conforming, Seller’s sole liability to Buyer and Buyer’s SOLE AND EXCLUSIVE REMEDY under this warranty (whether or not the non-conforming goods have been installed and must be the subject of a recall, customer satisfaction or other service campaign or similar action) is limited to the repair or replacement of the non-conforming goods only; provided, however, that written notice that the goods are potentially non-conforming must be given by Buyer to Seller within five (5) days after the delivery of the goods to Buyer or, if Buyer’s inspection of the goods could not have uncovered the potential non-conformance, within thirty (30) days after Buyer knew or reasonably should have known that the goods were potentially non-conforming, including, but not limited to, through information received from Buyer’s direct or indirect customer or any other third party.  For clarity, Seller shall not be responsible for the expense of locating or removing the non-conforming goods or re-installing any repaired or replacement goods. Except as stated herein, Buyer shall not have any right of rejection or revocation of acceptance of goods.

    SPECIFICALLY EXCLUDED FROM THIS PARAGRAPH AND ANY WARRANTY ARE THE FOLLOWING, FOR WHICH SELLER SHALL HAVE NO LIABILITY WHATSOEVER: (i)  Design defects in the goods, to the extent that the goods are designed, in whole or in part, by Buyer or a third party; (ii) defects or damage caused by unauthorized or improper installation, alteration, repair, maintenance (including failure to provide appropriate maintenance), storage, handling or operation of the goods by Buyer or any third party; (iii) goods considered by Seller to be samples, prototype, development or pre-production, which are provided on an “AS IS” basis only; (iv) goods sold by Seller but manufactured by a different entity, which are sold by Seller on an “AS IS” basis, provided, however, that Seller assigns to Buyer any warranties provided by the manufacturers of such goods, to the extent that they are assignable;  (v) any product, system, or assembly not manufactured or sold by Seller and/or the integration, incorporation, interaction, connection, placement, or use of the goods in or with any such product, system, or assembly, (vi) goods that have been subject to damage attributable to or caused by: (a) misuse, abuse, or vandalism or any transit related damage; (b) acts of God or insurrection; (c) normal wear and tear; (d) or any other acts that are beyond Seller’s reasonable control.  

    THE FOREGOING WARRANTIES ARE EXCLUSIVE AND ARE GIVEN AND ACCEPTED IN LIEU OF ANY AND ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND AGAINST INFRINGEMENT, AND BUYER IS SOLELY RESPONSIBLE FOR THE SELECTION OF THE GOODS AND DETERMINING THE PROPER APPLICATION AND USE OF THE GOODS. THE REMEDIES OF THE PURCHASER SHALL BE LIMITED TO THOSE PROVIDED HEREIN TO THE EXCLUSION OF ANY AND ALL OTHER REMEDIES. NO AGREEMENT VARYING OR EXTENDING THE FOREGOING WARRANTIES, REMEDIES, OR THIS LIMITATION WILL BE BINDING UPON SELLER UNLESS IN WRITING AND SIGNED BY A DULY AUTHORIZED OFFICER OF SELLER.

  7. Limitation on Liability. In the event any remedy hereunder fails of its essential purpose and monetary damages may be imposed, Seller’s liability, whether founded in contract or tort (including negligence), arising out of or resulting from (i) this Contract or the performance or breach thereof, (ii) the design, manufacture, delivery, sale, repair, replacement or use of the goods, or (iii) the furnishing of any such service, except in the case of Seller’s gross negligence and/or willful and intentional misconduct, shall not exceed the cost of the goods at issue in the claim.  NOTWITHSTANDING ANYTHING CONTAINED HEREIN TO THE CONTRARY, SELLER SHALL NOT BE LIABLE TO BUYER OR ANY OTHER PERSON FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR OTHER INDIRECT DAMAGES, INCLUDING, WITHOUT LIMITATION,   LOSS OF PROFITS, RECALL-RELATED EXPENSES, AND LOSS OF USE OF THE GOODS.

  8. Changes. Seller shall have the right to make changes, in its sole discretion, to the design, engineering, manufacture, or material composition of its goods, component parts, raw materials and other supplies, tooling, equipment, designs, processes and methods of manufacture, but Seller will not, without Buyer's approval, make a change to operational or dimensional specifications submitted by Buyer and agreed to by Seller.

  9. Solvency and Security Interest. Buyer represents to Seller that Buyer is solvent and capable of timely fulfilling its payment and other obligations to Seller.  Until the goods and any other indebtedness of Buyer have been paid for in full by Buyer, Buyer, or any agent of Buyer or third party: (i) will hold the goods subject to a security interest or lien in favour of Seller allowing for the right or re-possession by Seller to the extent permitted by applicable law, (ii) will not alter, remove, destroy, or damage any identifying mark on the goods or their packaging, and (iii) will keep the goods separate from any other products.  Seller may take possession of the goods at any time after payment for the goods or any other payment owed to Seller has become due.

  10. Resale. On any resale of the goods, Buyer shall contractually limit its customer's rights and remedies against both Buyer and Seller to the same extent that Sections 6 and 7 above limit Buyer's rights and remedies.

  11. Quantities. Any claim by Buyer that Seller failed to deliver the agreed-upon quantity of goods must be submitted to Seller in writing within five days after Buyer receives the goods.  If Buyer fails to do so, then it shall be conclusively presumed that the proper quantity was delivered.

  12. Permits and Compliance. Seller is not responsible for obtaining any permits, inspections, or licenses required for use, installation or operation of the goods.  Seller does not make a representation or promise that the goods will conform to a law, ordinance, regulation, code or standard.

  13. Components of Another Product. If any of the goods constitute parts or components that are to be incorporated or installed in a product that is manufactured or assembled by or for Buyer, then (a) Buyer shall obtain, or cause the end-user of the product to obtain, all permits, inspections and licenses that are required for installation or operation of the product, (b) Buyer shall cause the product to conform to all applicable laws, ordinances, regulations, codes and standards and (c) Buyer shall place on the product all required or otherwise appropriate safety devices and warnings, and shall furnish to its customer all operating instructions that are necessary or desirable to prevent death, personal injury or property damage from being caused by use or operation of the product.

  14. Safety Features. Buyer shall install and operate the goods properly and according to Seller's operating instructions, if any, and shall not remove or change a safety device, warning or operating instruction that Seller placed on the goods.

  15. Tooling. All tooling to be used in the manufacture of the goods shall be and remain the property of the Seller, even if Seller imposes and Buyer pays a separately-identified charge such tooling.  If the Buyer provides Seller with tooling, Seller shall hold the tooling, subject to the following: (a) risk of loss of the tooling shall at all times remain with Buyer; (b) Seller retains a security interest in the tooling to secure all obligations that Buyer at any time owes to Seller; (c) Buyer shall not have any right to possess the tooling as long as Seller has any outstanding obligation to sell to Buyer goods whose manufacture requires use of the tooling; (d) Buyer shall reimburse Seller on demand for all costs of modifications of the tooling that are made reasonably necessary by changes in the specifications for the goods; and (e) upon Seller's demand, Buyer shall immediately remove the tooling from Seller's premises, at Buyer's expense, and if Buyer fails to do so within ten days after that demand, then Seller may destroy or otherwise dispose of the tooling, without further notice or liability to Buyer.

  16. Cancellation; Returns. (a) Buyer does not have any right to cancel its agreement to buy the goods from Seller.  If, however, Seller agrees in writing to permit a requested cancellation, then Buyer shall immediately pay to Seller a cancellation charge in an amount equal to the purchase price (including any tooling charge) less allowances (in amounts that Seller determines) for (1) the realizable value to Seller of any standard components that Seller purchased or ordered before cancellation, (2) the realizable scrap value to Seller of the remaining material and tooling that Seller purchased, fabricated or ordered before cancellation and (3) any direct labor costs that Seller saved by reason of the cancellation.

    (b) Buyer may not return any custom or labeled goods. All other resaleable and undamaged goods are subject to return only for credit and only with Seller's prior written consent. All returns are subject to a 25% restocking fee. Any rework required to restore product to new condition (due to cement, debris, mud, spray paint, etc.) will reduce credit to scrap metal value. The Buyer is responsible for shipping the goods to the designated EJ location. Seller may, in its sole discretion, request certain information from Buyer prior to authorizing a return.

    (c) In addition to all other rights and remedies available to Seller, if Buyer fails to timely pay any indebtedness or to otherwise perform any obligation that Buyer at any time owes to Seller, then Seller may consider Buyer's failure to be an anticipatory repudiation of any or all outstanding contracts that provide for Seller to sell goods to Buyer, and Seller may, without liability to Buyer, cancel any or all of those outstanding contracts.

  17. Insecurity and Adequate Assurance. If Seller ever believes in good faith that it has grounds for insecurity as to Buyer's performance under any contract between Buyer and Seller to purchase goods, including this Contract, then Buyer shall provide adequate assurance of due performance within ten days after Seller demands the assurance, which shall be considered to be a reasonable time.  Buyer's failure to do so shall be considered to be a repudiation by Buyer of all then-existing contracts, including the Contract, that provide for Buyer to purchase goods and/or services from Seller ("Outstanding Contracts").  "Grounds for insecurity" include, without limitation, (a) Buyer's failure to make a payment to Seller or to perform another obligation under an Outstanding Contract, (b) Buyer's insolvency, (c) a deterioration in Buyer's financial condition after an Outstanding Contract was entered into and (d) Buyer's failure to provide financial statements and other financial information to Seller promptly upon Seller's request.  "Adequate assurance of due performance" includes, without limitation, providing a letter of credit or comparable security for all obligations of Buyer that then exist or that will arise in the future under all Outstanding Contracts.

  18. Intellectual Property and Confidentiality. All inventions, devices, technologies, ideas, improvements, processes, systems, software,  and other works and matters that Seller designs, generates, creates or develops in the course of Seller's performance of the Contract and all samples,  diagrams, plans, drawings and specifications that Seller provides to Buyer (collectively "Seller’s Intellectual Property") and all intellectual property rights embodied therein (whether patentable or not) shall be Seller's sole property, and Buyer shall have no right, title or interest in Seller’s Intellectual Property.  Buyer shall not disclose or use any of Seller’s Intellectual Property or any information about Seller's business, operations or activities, or any quotation or acknowledgment except to the extent necessary for Buyer to use the goods.

  19. Indemnity. Buyer shall defend, indemnify and hold harmless Seller, its affiliates, officers, directors, employees, agents, successors and assigns from and against any and all liabilities, losses, claims, expenses and damages (including attorney and professional fees) of any kind or nature whatsoever, including, without limitation, claims for personal injury (including death) or property damage, whether such claims are premised on contract, tort or otherwise, including strict liability, arising or resulting from, connected with, or in any way related to (a) Buyer's breach of any of Buyer's obligations under these Terms of Sale, (b) Buyer's use or installation of the goods or (c) any claimed unfair competition or patent, trademark or copyright infringement or any other claim resulting from Seller's manufacture of the goods to Buyer's specifications.

  20. Seller's Rights.  Seller has all rights and remedies that applicable law gives to sellers.  Seller's rights and remedies are cumulative, and Seller may exercise them from time to time.  No waiver shall be effective unless it is in writing.  The failure of Seller to require performance under any provision of this Contract shall in no way affect Seller’s right to require full performance at any subsequent time, nor Seller's waiver of a breach of any of the terms and conditions of this Contract on one occasion constitute a waiver of any other breach of the same or any term.

  21. Time for Bringing Action. Any action arising out of or related to this Contract, whether alleging breach of warranty or other breach, default or tortious conduct by Seller, must be brought by Buyer within one year after the cause of action accrues.  Buyer shall pay Seller’s reasonable attorney fees, costs, and expenses incurred in enforcing any provision of this Contract.

  22. Applicable Law.  The validity, interpretation, and enforcement of this Contract, matters arising out of or related to this Contract or its making, performance of breach, and any and all related matters shall be governed by and interpreted according to the laws of the Province of Ontario and the federal laws of Canada applicable therein.  The provisions of the United Nations Convention on Contracts for the International Sale of Goods, and any conflict-of-laws provisions that would require application of another choice of law, are excluded.  Either party may bring any action that arises out of or relates to the Contract in any court in the Province of Ontario that has jurisdiction of the subject matter, and Buyer irrevocably consents that any such court shall have personal jurisdiction over Buyer and waives any objection that the court is an inconvenient forum.

  23. Complete Agreement; Amendment. This Contract contains the entire understanding of the parties and is intended as a final expression of their agreement and a complete statement of the terms thereof, and may not be amended, modified or otherwise supplemented unless any such amendment, modification, or supplementation is done so in writing and explicitly references this Contract and is signed by both authorized representatives of both parties hereto.
